Our clients include single-location businesses, multinational corporations, entrepreneurial startups, and some of the most respected companies in our community. We help them achieve their business goals while developing and protecting their key commercial assets.

Our attorneys provide comprehensive services, from high-level strategic counsel and contract negotiation to detailed analysis of critical provisions and clauses. We frequently serve as outside general counsel for companies without in-house legal departments, offering guidance across all phases of the business life cycle.

Our work spans the formation of new entities, preparation of capital-raising documents (debt and equity), drafting of day-to-day operational contracts, and the documentation necessary for business exits.

We bring industry-specific knowledge to every engagement, with notable strengths in manufacturing and distribution, business and professional services, construction, logistics, food and beverage, technology, and health care.   • Advising clients on business formation, including entity selection.
  • Counseling clients on organizational documents tailored to their business needs, such as shareholder agreements and operating agreements.
  • Representing clients in the full spectrum of commercial contract preparation and negotiation.
  • Guiding manufacturers and other providers of goods and services in drafting terms and conditions of sale and advising buyers on terms and conditions of purchase.
  • Negotiating master services agreements and related statements of work in a variety of industries.   
  • Providing comprehensive representation to companies in the start-up phase, including advice regarding initial investment rounds and industry-based regulatory and compliance requirements.
  • Leading funding transactions across all stages, from Series Seed through Series D.
  • Representing companies in private equity fundraising, including the preparation of private placement memoranda (PPMs), subscription agreements, and operating agreements.
  • Executing intercompany reorganizations, often tax-driven, including those involving international entities.
